These Terms of Service ("Terms") govern your use of the services provided by Procure Solutions LLC ("we", "us", "our"). By engaging our services, you agree to these Terms.
Procure Solutions LLC provides procurement services. We assist clients by sourcing suppliers, obtaining and comparing quotes, coordinating with suppliers, and supporting the purchasing process. We provide a service only. We do not take ownership or possession of goods, and we do not provide shipping, warehousing, or logistics. Clients purchase goods directly from their chosen suppliers.
A working relationship begins when you submit a request and we confirm acceptance. The specific scope, deliverables, fees, and timelines for each engagement will be agreed between you and us in writing before work begins.
Our fees are for the procurement services we provide and are separate from any amounts you pay directly to suppliers for goods. Fees, payment terms, and any applicable taxes will be set out in your engagement agreement.
You are responsible for providing accurate requirements, reviewing the options we present, making your own purchasing decisions, and entering into any purchase agreements directly with suppliers. Final purchasing decisions rest with you.
We use reasonable care and skill in providing our services. However, we do not control suppliers and do not guarantee supplier performance, product quality, pricing, or availability. Any contract for goods is between you and the supplier.
We treat information you share with us in connection with an engagement as confidential and use it only to provide our services, except where disclosure is required by law.
To the maximum extent permitted by law, Procure Solutions LLC is not liable for indirect or consequential losses, or for the acts or omissions of suppliers. Our total liability arising from any engagement is limited to the fees you paid us for that engagement.
Either party may end an engagement in accordance with the terms of the relevant engagement agreement. Fees for services already performed remain payable.
These Terms are governed by the laws of the State of Florida, and any disputes will be subject to the courts of the State of Florida.
